The Alcohol Beverage/Hospitality Industry Practice Group regularly
advises U.S. and multi-national clients interested in establishing or
acquiring alcoholic beverage production and/or distribution facilities
or acquiring, establishing or restructuring hotel and/or restaurant
operations in the United States. The group is divided into three broad
areas: (i) corporate/commercial, which serves the everyday business
needs of our client (i.e. purchase and sale, joint venture, bottling,
importation, distribution agreements and general business advice); (ii)
licensing and regulatory (i.e. Federal and state licensing and
regulatory compliance requirements, product and label approvals and
advertising, marketing, sales promotion and trade practices review and
advice) and (iii) litigation (i.e. advice concerning creation and
termination of distributor relationships and litigation resulting
therefrom under state distributor termination laws).

acquisition of U.S. importation and distribution rights to a European
beer.
Currently serve as alcoholic beverage regulatory counsel to the
acquirers of two national hotel chains and two national restaurant
chains.
Currently serve as alcoholic beverage regulatory counsel to national
restaurant chain operating in Chapter 11.
Currently serve as alcoholic beverage regulatory counsel in connection
with restructuring of international golf course owner.
Recently served as alcoholic beverage regulatory counsel to a private
investment fund with acquired ownership of a publicly-owned national
restaurant chain.
Recently served as special alcoholic beverage and gaming regulatory
counsel to private investment fund that acquired the worlds largest
bowling center operations.
Served as special alcoholic beverage regulatory counsel to large
European brewery in connection with its acquisition of the largest U.S.
hotel chain, which operates or franchises more than 1,300 hotels through
its United States subsidiaries. The attorneys represented the acquirer
before the fifty state alcoholic beverage control agencies, and that of
the District of Columbia, to resolve tied-house issues and to obtain the
alcoholic beverage licenses and permits necessary to consummate the
acquisition.
