The Firm’s clients include a variety of domestic and foreign entities for whom we offer general business advice and problem resolution. Some businesses are closely or family owned while others are publicly held. Our clients are representative of many segments of the economy. These include the service sector, high technology and internet companies, and traditional industries. Examples of corporate and commercial matters on which advice is given include general representation, business combinations and acquisitions, reorganizations and recapitalization, sales of stock or assets, general and limited partnerships, and limited liability companies. We have also been engaged for the purposes of providing advice and counsel with respect to shareholders’ agreements, organization of businesses, officers and directors liability, and employment agreements. We are often retained to conduct and assist in detailed negotiations on behalf of our clients in order to structure business transactions in a manner that is most beneficial to our clients.

Wormser, Kiely, Galef & Jacobs LLP recently represented and advised SIMONA AG, a German based manufacturer of thermoplastic products with worldwide activities, in its acquisition of Boltaron Performance Products, LLC, Newcomerstown, OH, a leading manufacturer of thermoplastic sheet products used in aircraft and mass transit vehicle interiors. Boltaron generates annual sales of approximately $30 million. The transaction was announced on April 1, 2014 and closed on April 16, 2014. In January 2014, in pursuit of its strategy of expansion through targeted acquisitions, SIMONA had previously acquired Laminations Inc. of Archbald, Pennsylvania. Laminations is a leading manufacturer of high-density polyethylene and fluoropolymer sheet products. WKG&J also advised SIMONA on this transaction. The SIMONA AMERICA Group, after these acquisitions, generates annual sales of approximately $90 million.
